The pattern
A recurring structure appears across private placement and exempt market cases in Canada and the US. Introduction arrives through a trusted advisor, family office contact, or existing relationship, not a cold approach. Initial position is small, and it performs; real distributions or redemptions occur on schedule. Commitment requests escalate over subsequent rounds, often framed as access to an oversubscribed or closing opportunity. A liquidity event, redemption window, maturity date, or promised exit is repeatedly delayed, then repeatedly re-explained.
In Ontario and BC specifically, this structure recurs inside promissory note and mortgage investment corporation offerings, where the underlying mortgage portfolio is difficult for an outside investor to independently verify.
Why it matters now
The pattern depends on relationship trust substituting for independent verification. Families with long-standing advisor relationships are the intended audience for this structure, not the exception to it.
Coordinated response
- Separate the decision to trust the introducer from the decision to fund the opportunity. The first is a relationship judgment; the second requires independent verification regardless of who made the introduction.
- Require third-party custody or audited fund administration for any position beyond an initial small allocation, independent of the manager or promoter.
- Treat consistent, on-schedule small returns as a data point, not a conclusion. Verify the underlying asset generating the return, not just the payment history.
- For mortgage investment corporation and promissory note structures specifically, request the underlying mortgage or loan portfolio and confirm independent registration and valuation, not summary reporting from the issuer alone.
- Build a standing rule: any request to increase commitment ahead of a stated liquidity event is a prompt for independent review, not a signal to move faster.
- Route every private placement opportunity, regardless of source, through the same evaluation process. An exception made for a trusted introducer is the mechanism the pattern relies on.
